ARTICLE 1: OBJECT

These General Conditions of Sale (CGV) aim to define the rights and obligations of PRO VSP and the customer with respect to-Has-view the products presented by PRO VSP on its site www.https://pro-piece-vsp.com/gb/

This site is published by SARL PRO VSP, a limited liability company with capital of 500 000.00 Euros, registered in the Montpellier Trade and Companies Register under number 810 312 710 000 17 whose head office is located ZAE Mas de Garric 2bis rue de l'industrie, 34140 Mèze, France .

These general conditions are applicable to all items offered for sale on the site, and are reserved for customers over 18 years of age who have full legal capacity.

Any order for one or more items presented on the site implies consultation and unreserved acceptance, on the part of the customer, of these General Conditions of Sale (CGV) as well as the prices applied. These conditions take precedence over any other document as well as the General Conditions of Sale (CGV) of the customer's country.

Any failure, on the part of PRO VSP, to one of its obligations, mentioned in these General Conditions of Sale (CGV), can in no case be interpreted, by the customer, as a waiver of the General Conditions of Sale (CGV).

These conditions may be subject to updates or modifications without notice. The applicable conditions will then be those in force at the time of conclusion of the contract, i.e. on the day the order is registered.

ARTICLE 2: INFORMATION RELATING TO THE ARTICLES

The items and promotional offers present on the site are offered for sale while stocks last and for offers, until the end of their validity. The presence of an item on the site does not guarantee its availability in stock.

The photographs and texts illustrating the articles are given for information purposes only, are subject to modification without notice and do not enter into the contractual scope. Consequently, although represented on the site with the greatest precision, the photos and texts may, however, contain errors. We do our utmost to have as much precision as possible in our product sheets (serial number, etc.), unfortunately it may sometimes happen that there are two different assemblies for certain parts of the same vehicle. The parts sold by PRO VSP (unless otherwise stipulated in the product description indicating the origin) are spare parts of equivalent quality, also approved for maintenance and repair, correspond to the quality of the components used for the assembly of the vehicle in question, but are not manufactured in accordance with the specifications and manufacturing standards provided by the vehicle manufacturer. These pieces are called adaptable on the site, are of the same quality but can, for example, be made in another material or another color.

The products sold by PRO VSP can only be fitted on vehicles or systems recommended by the manufacturer or equipment manufacturer by a competent person and under their sole responsibility. PRO VSP cannot under any circumstances be held responsible for the consequences of poor assembly or the use of an unsuitable product on a vehicle.

PRO VSP will honor orders while stocks last from PRO VSP and its suppliers. In the event of proven unavailability of the ordered product, or in the event of no-acceptance by the customer of the delivery time imposed by this unavailability, PRO VSP will offer a replacement product to its customer who will retain full discretion to accept or refuse it. In the event that the customer refuses the replacement product, PRO VSP cannot under any circumstances incur liability due to the unavailability of the product ordered in the supplier's or manufacturer's stock, nor can it open a any right to compensation or damages in favor of the customer. In the event of unavailability of all or part of the order, and refusal of the delivery time or replacement products by the customer, the refund will be made to the payment method used when ordering within 30 days. following the refusal of the deadline.

ARTICLE 3: ORDERING ITEMS

The customer can only place an order via the Website or by telephone. PRO VSP draws the customer's attention to the fact that online ordering on the website is secure. It also represents the fastest way to purchase the company's products.

The customer can contact customer service from Monday to Thursday from 9:00 a.m. to 12:00 p.m. and from 2:00 p.m. to 6:00 p.m. and on Friday from 9:00 a.m. to 12:00 p.m. and from 2:00 p.m. to 5:00 p.m. on 04 28 10 08 22 (price of a local call). Ordering by telephone is made with an existing customer account, without a customer account or by creating a customer account when placing the Order. It is the customer's responsibility to verify the compatibility of the/product(s) with his vehicle before finalizing the order and mounting it on his vehicle.

The order will only be validated after acceptance of payment in full. PRO VSP reserves the right to refuse certain orders deemed invalid.

Items offered for sale are subject to availability. In the event of unavailability announced by the manufacturer, the customer will be informed, after placing their order, by E-email. For certain products, the mention in stock under-means available from the supplier.

ARTICLE 4: PRICES OF ITEMS

The prices indicated on the site are in euros and are inclusive of all taxes (French VAT included) excluding shipping costs. Any possible change in the legal rate of French VAT will be reflected in the price of the products presented on the site.

The prices presented may be modified at any time by PRO VSP.

ARTICLE 5: PAYMENT AND SECURITY

When paying for their order, the customer will have the choice between the following payment methods:

- Bank card

- PayPal (unless server is unavailable)

- Bank Transfer

For any bank card transaction, the Customer will indicate the number appearing on the front of their card, the expiration date of their card and the cryptogram appearing on the back of their card (last three digits). The communication by the Customer of his bank card number constitutes authorization for PRO VSP to debit his account up to the amount of his order. No counter shipment-reimbursement will not be accepted, whatever the reason. PRO VSP retains ownership of the item until full payment of the price by the customer. Purchases are made securely. For any PayPal transaction, the customer can pay for their purchases directly on the site. Payment is then secured by PayPal France. PayPal is an online payment service allowing you to pay by credit card, bank account or previously created PayPal account.

Payment in 4 installments free of charge is only possible with PayPal for any order of an amount between €30 and €2000. Payment will be made in 4 installments over 3 months. Early repayment is possible at any time and free of charge from your PayPal account. The request is processed in real time and does not require an acceptance period. When a customer pays for an order using a single voucher, the reimbursement is in the form of a single voucher (and not monetary).

When a customer pays part of the order in a single voucher and the other part of the order in cash, the amount paid in voucher will be refunded by a new voucher of an amount identical to the first voucher and the rest of the amount will be refunded in cash.

In the event of a payment dispute with a customer, PRO VSP reserves the right to refuse their order.

ARTICLE 6: DELIVERY

Orders can be delivered anywhere in France, including Corsica and in Europe. PRO VSP reserves the right to choose the appropriate mode of transport. Orders will be delivered in France by La Poste Colissimo, DPD, FedEx or another equivalent operator.

Delivery of the products will only be effective after receipt of the total amount of the order.

The products will be delivered to the address indicated by the customer when placing their order. Consequently, the contact details transmitted by the customer are considered to be accurate and will not engage the liability of PRO VSP in the event of a dispute.

In the event of a contact or other problem, return to sender costs will be applied. The same applies to a package not claimed at a relay point and returned to the company after the retention period by the relay point.

Initial shipping costs remain the responsibility of the customer and will not be refunded in the event of a refund of the product(s).

In the case of home delivery, the driver has no obligation to come to the home more than once.

In the event that the customer is absent or if the driver cannot find the delivery location, he can drop him off at the nearest relay point.

In the case of home delivery, if the customer is absent and agrees to leave the package in a safe place or with a third party, the package will be considered delivered and accepted and the customer will have no recourse in the event of defective products or packages missing upon return.

In the case of home delivery and refused by the customer, excluding damaged product, the initial delivery costs will remain the responsibility of the customer and the return costs invoiced by the carrier will be deducted from the reimbursement of the returned parts.

Delivery times are given as an indication, corresponding to the delivery time once the package has been handed over to the carrier. The given deadline therefore does not constitute a firm commitment on our part.

In order for these deadlines to be respected, the customer must ensure that they have provided accurate and complete information concerning the delivery address (such as, in particular: street number, building number, staircase number, access codes , names and/or intercom numbers, etc.) .

Delivery times do not include the order preparation time.

Saturdays, Sundays and public holidays are excluded from this deadline.

The times indicated for products marked “available under” correspond to the average arrival times at our premises, if and only if the part is available at the factory. This time does not include the time taken to prepare and deliver the order.

The products making up the same order are, in principle, delivered in one go. Exceptionally, PRO VSP reserves the right to split an order into several packages, for example if all the products are not available or if certain products in the order are shipped directly from the manufacturer. In this case, the customer is only charged for shipping costs for one package, the rest being covered by the Company. On the other hand, if split delivery is requested by the customer, participation in shipping costs may be requested from the customer unless exceptional agreement from the company.

In the event of delivery outside France or the European Union, the order may be subject to customs duties or taxes when the package reaches its destination. These duties or taxes will be the exclusive responsibility of the customer, and under their entire responsibility. The company is not required to provide specific information on duties and taxes applicable outside France and the European Union.

The delivery tracking number is communicated to the customer when ordering.

The carrier must provide details by email or SMS, directly to the customer. The latter agrees that his contact details will be transmitted to the carrier or the postal service for this purpose.

We would like to point out that, despite all care, delivery errors may occur in certain cases. Therefore, before installing an item that you have purchased, you are required to visually check, by comparing with the original part that was replaced, whether the part ordered is the correct one for your vehicle (e.g. example, by checking the conformity of drilling holes and connections). If the purchased part differs visibly in size, shape or material from the original part being replaced, please contact us for clarification before installing, adapting or modifying (e.g. by applying a coating) the part purchased.

ARTICLE 7: RIGHT OF WITHDRAWAL

Under the provisions of articles L.121-20 et seq. of the Consumer Code, the customer has a period of fourteen clear days to exercise his right of withdrawal without having to provide reasons.

The customer must, before any return, make a return request in the customer area in the place provided for this purpose so that their return is recorded, validated and admissible. We must have received the return of the part(s) within fourteen clear days from the date of receipt of the order for the return to be admissible.

Shipping and return costs will be the responsibility of the customer. Return or exchange is at the customer's risk. If the item is not returned by the customer within fourteen (14) days, the return is considered canceled and the customer must keep the product.

In the event of a late return or a refused return, the customer will have to pay shipping costs in order to be able to recover their package. Otherwise, the product will remain available to the customer for a period of one year. After this period, the product will be destroyed.

Refunds will be made by credit to the payment method used when ordering, within 15 days.

ARTICLE 8: COMPLIANCE AND GUARANTEE OF PRODUCTS

PRO VSP cannot be held responsible for any inconvenience or damage inherent in the use of the Internet network, in particular a break in service, an external intrusion or the presence of computer viruses, or any fact qualifying as force majeure, in accordance with to the law and jurisprudence.

PRO VSP cannot be held liable in any way whatsoever for any direct or indirect damage, whether material, immaterial or bodily, linked to the use of the product(s) it markets. Furthermore, the company cannot be held liable in the event of installation/assembly of its products by an unqualified person (professional with the title of mechanic). In all cases, PRO VSP cannot be held responsible for the manufacturer's refusal to apply the warranty, for one of the reasons stipulated below-above.

All product photos on our store are non-contractual.

In case of no-conformity of the products, we ask the customer to inform us by mail, accompanied by the items concerned, in new condition and in their original packaging, within 15 working days, to the following address: Garage SARL PRO VSP- ZAE Mas de Garric, 2bis rue de l’industrie, 34140 Mèze, France.

For any warranty request for a new or used part, shipping is the responsibility of the customer. If the warranty is accepted, PRO VSP undertakes to ship the new part at its expense. No credit or refund will be possible, only a replacement of the ordered part will be made.

The customer benefits from the legal provisions relating to the guarantee of hidden defects under article 1641 et seq. of the civil code.

All our products (excluding consumables: bulbs, brushes, batteries, discs, filters, fuses, jaws, pads, etc.) are guaranteed for 3 months from the date of receipt of the order.

The products concerned are only products fitted by a car professional without a license. The products must be returned to us in their original packaging accompanied by the purchase invoice and the invoice for assembly carried out by the professional in question to the following address SARL PRO VSP- ZAE Mas de Garric, 2 rue de l’industrie, 34140 Mèze, France.

Damage of external origin or resulting from misuse of the product, improper use, or following use with a modified vehicle are excluded from the warranty. We will then study the eligibility of the guarantee and if accepted we undertake to send you a new product within 30 working days.

ARTICLE 9: RESERVATION OF OWNERSHIP AND RESOLUTION CLAUSE

The products ordered remain the property of PRO VSP until the customer fulfills his obligations, in particular until he pays the price in full. Once the transfer of ownership has been carried out, the risks of loss, theft or deterioration of the products are the responsibility of the customer.

In the event of failure on the part of the buyer to fulfill one of his obligations, the sale will be terminated automatically and without notice. The items must be returned to PRO VSP within 48 hours.

ARTICLE 10: PERSONAL INFORMATION

The customer expressly agrees to communicate his personal data to PRO VSP so that we can best manage orders, deliveries and customer relations.

PRO VSP undertakes not to communicate your personal data to third parties.

PRO VSP collects personal data concerning the customer, in particular when browsing the website, creating a customer account, creating a basket, ordering, participating in a survey or satisfaction survey, or making an online request. .

The personal data collected by PRO VSP, concerning the execution of the contract, are only kept for the duration of the commercial relationship with the customer, and once the contractual relationship has ended until the expiration of the legal archiving deadlines, of limitation or the period prescribed by law where applicable. ARTICLE 11: INTELLECTUAL PROPERTY RIGHT

The PRO VSP site and its content are protected by current legislation on copyright and intellectual property.

In accordance with the provisions of the Intellectual Property Code, PRO VSP grants the client a license to use the site, solely for personal use. Any partial or total reproduction of the site or any of its elements is prohibited (photographs, texts, logos, acronyms, brands, drawings, etc.).

Under no circumstances is the customer authorized to download or modify all or part of the Site and in particular its content. The customer is therefore required to respect intellectual property rights and may not in any way use the brands appearing on the site and on the products where applicable, or register a brand which would be detrimental to the rights holder, unless otherwise provided by contract. The same applies to any other intellectual property right.

ARTICLE 12: FORCE MAJEURE

In the event of partial or total non-performance of its obligations, caused as part of a case of force majeure or fortuitous event, PRO VSP will not be liable.

According to the provisions of article 1148 of the Civil Code, force majeure occurs in a context of unpredictability and irresistibility.

Expressly, the following are considered as force majeure:

- Strikes, in particular: strikes in means of transport, communication or postal services; regulatory restrictions; attacks, epidemics...

- Floods, fires, lightning, natural disasters...

ARTICLE 13: APPLICABLE LAW AND TERRITORIAL JURISDICTION CLAUSE

These General Conditions of Sale (CGV) are written in the French language and are subject to French law. The language of this contract is French. In the event of a dispute between the parties, the territorially competent court will be the commercial court of Montpellier (34) - France.

ARTICLE 14: ACCEPTANCE

These General Conditions of Sale (CGV) govern the contractual relations between PRO VSP and its client, both parties accept them without reservation. These General Conditions of Sale (CGV) will prevail over all other conditions appearing in any other document, unless prior, express and written waiver on the part of PRO VSP.
